Overview

Generate a one-way NDA from a HubSpot company

Before you show a prospect your product roadmap or your customer list, you want a signed NDA, and you want it today. What slows it down is the typing: the receiving company's name, a street address pulled from the contact, the roles filled in the right way round.

This template handles that. Data merge fills the Receiving Party's company name and the contact's street address from HubSpot, stamps the effective date, and puts the contact's name and job title in the Receiving Party signature block. eSignatures send it to both sides from the same workflow.

It is one-way: your company is the Disclosing Party and the HubSpot company is the Receiving Party, which suits sales teams, agencies and software vendors that do most of the sharing. For a two-way exchange use Mutual NDA (US). The regional variants are Non Disclosure Agreement (GB), (AU) and (CA), and the set ladders up to contracts.

Who is this for

Is this template right for you?

Legal, sales, and operations teams managing recurring agreements.

  • A signed NDA before the next conversation. The agreement is generated from the HubSpot record as soon as a prospect needs to see something confidential, so you share with protection in place rather than promising to send it later.

  • The same terms on every agreement. One reviewed document means the term, exclusions, return obligations and remedies stay the same from one prospect to the next unless you change them.

  • Clear roles, clear direction. The agreement states that it is one-way and protects information flowing from the Disclosing Party to the Receiving Party, so nobody has to work out who is bound.

Setup

How to set up the one-way NDA workflow

  1. 01

Step 1: Connect HubSpot and Google Docs

Open Portant, install the HubSpot app from the Marketplace, and connect the Google Drive account that will hold the NDA template and the generated agreements.

  2. 02

Step 2: Fill the Disclosing Party and purpose once

The Disclosing Party is your company name and address, both bracketed placeholders. The purpose clause has a bracketed placeholder for what the parties are evaluating, and the governing state reads California in brackets for both the law and the courts. Replace each once and every NDA carries them.

  3. 03

Step 3: Check the company and contact mapping

The Receiving Party's name is mapped to the HubSpot company, and the street address, first name, last name and job title to the contact. Confirm the properties match how your portal names them.

  4. 04

Step 4: Set the trigger and signing order

Choose the app card button or workflow action that starts the run, set who signs first under eSignatures, and tell output management where to file the signed PDF.

Frequently asked questions

A non-disclosure agreement, or NDA, is a contract in which one party agrees to keep another's confidential information private and to use it only for a stated purpose. This template is a one-way NDA that protects what you, as the Disclosing Party, share with the other company.

The Receiving Party's name comes from the HubSpot company, and its street address from the contact. The signature block uses the contact's first name, last name and job title. The effective date comes from the run timestamp. The Disclosing Party is fixed text you fill in once.

Use Mutual NDA (US) when both sides will share confidential information. Its terms bind both parties and either can end it with 30 days' written notice. This one-way version protects only your disclosures and ends by mutual written agreement or when its term runs out.

It runs for 2 years from the effective date unless ended earlier by mutual written agreement. Confidentiality obligations survive for 3 years after each disclosure, and trade secrets stay protected for as long as they remain trade secrets under applicable law.

Yes. The document has a Disclosing Party block and a Receiving Party block, and the agreement states that electronic signatures count. Portant sends it for eSignature in the order you choose and saves the signed PDF back on the HubSpot record.

Yes. The regional variants are Non Disclosure Agreement (GB), Non Disclosure Agreement (AU) and Non Disclosure Agreement (CA). Pick the one that matches where you operate. This one is the US version, with California as the bracketed governing state and MM/DD/YYYY dates.
