Sales Agreement (US)

Agree the commercial terms for ongoing supply once, then let orders follow. Portant fills the customer, the price schedule and the signer from a HubSpot deal into a Google Doc written with US conventions, then sends it for signature.

Overview

Generate a sales agreement from a HubSpot deal

A customer who orders every month should not need a new contract every month. Without one, a supply deal agreed on a call turns into a stack of purchase orders, each with its own terms, and the prices sit in an email thread nobody can find.

This template sets the commercial terms once. Data merge fills the customer's company name, stamps the agreement date, and builds the Schedule A price table from the deal's line items: product name, SKU and unit price. The customer signer's name and job title are filled in, and eSignatures send it to both sides.

It suits suppliers, distributors and manufacturers whose customers reorder, with orders placed later by purchase order, order form or email. Order Form (US) pairs with it, and the whole set ladders up to contracts.

Who is this for

Is this template right for you?

Legal, sales, and operations teams managing recurring agreements.

  • Terms agreed once, orders stay simple. Prices, payment, delivery, returns and liability are written into one agreement, so each later order only states products, quantities and a delivery date.

  • The price schedule matches the deal. Every product, SKU and unit price in Schedule A comes from HubSpot, so the contract cannot list a price the deal never recorded.

  • Clear rules for returns and changes. The agreement sets a 14-day return window for non-conforming products, a 3-business-day order acceptance window and notice periods for price changes, so neither side is guessing.

Setup

How to set up the sales agreement workflow

  1. 01

Step 1: Connect HubSpot and Google Docs

Open Portant, install the HubSpot app from the Marketplace, and connect the Google Drive account that will hold the agreement template and the generated documents.

  2. 02

Step 2: Fill the supplier details and delivery terms once

Your company name is a bracketed placeholder, as are the delivery terms (the template suggests DDP under Incoterms 2020), the unit of measure in Schedule A and the governing state, which reads California for both the law and the courts. Replace each once and every agreement carries them.

  3. 03

Step 3: Check the deal mapping

The company name, line item name, SKU and unit price tags are already mapped to the HubSpot deal, and the signer's first name, last name and job title to the contact. Confirm the properties match how your portal names them.

  4. 04

Step 4: Set the trigger and signing order

Choose the deal stage or app card button that starts the run, set who signs first under eSignatures, and tell output management where to file the signed PDF.

Frequently asked questions

A sales agreement is a contract in which a supplier agrees to sell products or services to a customer on stated terms. This template covers ongoing supply: it sets prices, payment, delivery and liability once, and individual orders then reference it. It generates from a HubSpot deal.

The customer's company name, the deal's line items (each one's name, SKU and unit price in Schedule A), and the signing contact's first name, last name and job title. The agreement date comes from the run timestamp. The supplier details are fixed text you fill in once.

Prices are listed in Schedule A, exclusive of Sales Tax and shipping unless stated. They are fixed for the first 12 months, after which the supplier can revise them with 60 days' written notice, and revised prices apply only to orders placed after the notice period.

The delivery terms are a bracketed placeholder, with DDP under Incoterms 2020 suggested, which you replace with your own terms. Confirmed delivery dates are binding, risk passes on delivery, and title passes on payment in full.

No. The template itself says it is not legal advice and should be reviewed with a lawyer. It also lists optional sections you may want to add, such as minimum order quantities, exclusivity or territory, marketing support and service levels.

Yes. The regional variants are Sales Agreement (GB), Sales Agreement (AU) and Sales Agreement (CA). Pick the one that matches where you operate. This one is the US version, with California as the bracketed governing state, Sales Tax wording and MM/DD/YYYY dates.
