What is a licensing agreement?

A licensing agreement is a contract in which the owner of intellectual property, the licensor, grants another party, the licensee, the right to use that property in return for fees or royalties. The property can be a brand, a patent, software, music, artwork, or any other protected work.

Use a licensing agreement whenever you let someone else use your IP without selling it outright, or when you take on the right to use someone else's. The agreement keeps ownership with the licensor while spelling out exactly what the licensee may and may not do.

A clear licensing agreement defines the licensed property, whether the licence is exclusive or non-exclusive, the territory and term, the royalty or fee structure, quality control, and what happens on termination.

A licensing agreement lets one party use another party's intellectual property, such as a brand, patent, or software, in exchange for payment. Ownership stays with the licensor while the licensee gets defined rights to use the property under agreed terms.

An exclusive licence gives the licensee sole rights, so the licensor cannot grant the same rights to anyone else, sometimes not even use them. A non-exclusive licence lets the licensor grant the same rights to multiple licensees. Exclusivity usually commands a higher fee.

Licensing payments are commonly a percentage royalty on sales, a flat fee, a per-unit fee, or a mix with a minimum guarantee. State the rate, how it is calculated, when it is paid, and any reporting the licensee must provide.

A licensing agreement should identify the licensed IP, the scope of permitted use, exclusivity, territory, term, royalties or fees, quality control, and termination. Defining the scope tightly is what protects the owner's rights.

A licence grants the right to use IP while ownership stays with you. An assignment transfers ownership outright. Use a licensing agreement when you want to keep your IP and earn from it, and an assignment when you intend to sell it.
